# FR/BAR As Is Contract Deadlines: Why Buyers and Sellers Need to Take the Timelines Seriously

by [Tara Lezama](https://www.thebbgrouprealtors.com/coldwell-banker-vanguard-realty-blog/author/tara-lezama) | Oct 12, 2026

Every Florida purchase contract has two kinds of dates. There is the one everyone remembers, which is closing day. And there are the quieter ones, tucked into the blanks on the first few pages, that decide whether you ever reach closing at all.

The inspection period ends. A deposit comes due. A loan approval period runs out. A title review window closes. None of these dates arrives with a reminder, and in the Florida Realtors/Florida Bar "As Is" Residential Contract for Sale and Purchase, which I will call the FR/BAR "As Is" contract throughout this guide, missing one can change your rights.

This post is for buyers and sellers who want to understand how those timelines work, how the days are counted, and what to do so a missed date never becomes a lost deposit or a lost deal.

*A note on editions: Florida Realtors and The Florida Bar revise these forms periodically, so confirm the revision date printed on your contract. This is general education, not legal advice.*

## What Happens If I Miss a Deadline in a Florida "As Is" Contract?

Missing a deadline in the FR/BAR "As Is" contract can cost you a right you would otherwise have had, such as the right to cancel after an inspection, and in some cases it can put you in default. The contract states that time is of the essence, which means the dates are treated as material and can be enforced as written.

In practice, the consequences depend on which deadline passes:

- **A buyer misses the inspection period:** the buyer generally loses the contractual right to walk away over what the inspections found and is taking the property in its present condition.
- **A buyer misses a deposit deadline:** the seller may have grounds to treat the buyer as being in default.
- **A seller misses a title or delivery deadline:** the buyer may gain options, and the closing can be at risk.

The exact remedy always depends on the wording of your contract and the facts, which is why a deadline missed by one day deserves a call to your agent right away, and sometimes to a Florida real estate attorney.

## How Are Days Counted in the FR/BAR "As Is" Contract?

Most time periods in the contract are counted in calendar days, starting the day after a triggering event, and deadlines that land on a weekend or national holiday move to the next day that is not one. The details matter because many deadlines run from the Effective Date.

### The Effective Date starts the clock

The Effective Date is the date the last party signs or initials the final version of the offer or counteroffer and the fully signed contract is delivered. Many of the contract's deadlines are measured from that date. A signature on Friday that is not delivered until Monday does not necessarily start the clock on Friday, so confirm the Effective Date in writing with your agent.

### Start counting the next day

The day the period begins is not counted. A three-day period that starts on the 14th of the month starts running on the 15th. When a date is close, count it twice and confirm with your agent.

### Weekends and holidays move the date

If a deadline falls on a Saturday, Sunday, or national legal holiday, it moves to the next day that is not one. That rule helps when a period expires over a weekend. It does not help when you assume the deadline is Friday and it is in fact Monday, or the reverse. Always work from the actual date on the calendar your agent built from your contract.

### Some deadlines count backward

A few deadlines are measured backward from closing, such as the date by which title evidence must be delivered before the closing date. When the date lands on a weekend or holiday, backward counts typically move earlier, because the contract requires at least that many days of lead time. If your closing date moves, these dates move with it.

## Which Deadlines Matter Most for Buyers?

For buyers, the deadlines that carry the most weight are the deposit, the inspection period, the loan approval period if financing is involved, the title review window, and the closing date. Each one protects a different right.

### The deposit

The contract sets when the initial deposit is due, either with the offer or within a number of days after the Effective Date. If the blank is left empty, the form supplies a default of three days after the Effective Date for the initial deposit, and a later default for any additional deposit. Late or missing deposits are one of the more preventable ways to start a transaction on the wrong foot, so arrange the wire or check with your escrow agent before you sign.

### The inspection period

The "As Is" contract is built around the buyer's right to inspect. During the inspection period, the buyer can order inspections and, if the property is unacceptable, terminate by delivering written notice before the period ends. If the blank is left empty, the form fills in a default of 15 days. After that window closes, the right to cancel on that basis is gone.

Because the property is being sold "As Is," the seller has no default obligation to make repairs. Repairs, credits, and price changes are negotiated, usually while the inspection period is still open. Buyers who wait to negotiate until the final day leave themselves almost no room.

For a broader look at how the inspection and closing windows fit into the full selling timeline, see [How Long Does It Take to Sell a House in Jacksonville Right Now?](https://www.thebbgrouprealtors.com/coldwell-banker-vanguard-realty-blog/how-long-does-it-take-to-sell-a-house-in-jacksonville-right-now)

### The loan approval period

For financed purchases, the financing paragraph of the contract sets a loan approval period, with a default of 30 days if the blank is left empty. This deadline has its own rules about written notice and what happens if a buyer does not deliver it on time. Those rules are important enough that I am covering them in a separate guide.

### Title and survey review

The buyer has a defined window to review title evidence and notify the seller in writing of title defects. The seller then has a period to cure. Sending a title objection late can weaken the buyer's options, so ask your closing agent when the title commitment will arrive and put the review window on your calendar.

### The closing date

The closing date is the target for completing the transaction, and the contract allows only narrow extensions. A lender that is running behind is not, by itself, a reason to extend. Build your lender's timeline backward from the closing date in the first week, and ask for status updates on a schedule.

## Which Deadlines Matter Most for Sellers?

Sellers also have deadlines, and they are easy to overlook because buyers' dates get more attention. The seller's key obligations include delivering title evidence on time, curing title defects within the contract's cure period, maintaining the property in its condition as of the Effective Date, giving reasonable access for inspections and appraisals, and being ready to close on the closing date.

Sellers also have timing rights worth knowing about. Some contract provisions give a seller the option to act within a short window after a buyer's deadline passes. If you are a seller, ask your agent which of those windows apply to your contract and put the dates on your calendar the day you sign.

The same principle runs both ways. The side that tracks the dates keeps its options. The side that assumes the other side will tell them loses them.

## How Do You Compare the Major Deadlines at a Glance?

The table below summarizes the major deadlines in a financed purchase. The numbers in the second column are defaults the form supplies when a blank is left empty, and many contracts negotiate different numbers, so read yours before relying on them.

| Deadline | Default if Blank Is Left Empty | Who It Mainly Affects | Risk if It Passes |
| --- | --- | --- | --- |
| Initial deposit | 3 days after the Effective Date | Buyer | Possible default and loss of seller confidence |
| Inspection period | 15 days after the Effective Date | Buyer, and seller as the party receiving repair requests | Buyer loses the right to cancel over inspection findings |
| Loan approval period | 30 days | Financed buyers, and sellers | Loss of financing protection; seller options may open |
| Title evidence and review | Set number of days before closing | Both | Weakened objection rights or closing delays |
| Closing date | Negotiated; narrow extensions only | Both | Possible default and deposit dispute |

## How Can You Protect Yourself From Missing a Deadline?

The most reliable protection is a written calendar of every date, built the day the contract is signed and shared with everyone involved. Then use a few simple habits to keep it working.

- **Calendar every date with a reminder at least three days earlier.** Include the lender, the closing agent, and your agent's team in the reminders.
- **Put every notice in writing.** A phone call or text may feel official, but contract notices should follow the method your contract requires, and you should keep proof of delivery.
- **Send notices early.** A notice delivered on the last day, late in the evening, leaves no margin for a technology failure or a miscount.
- **Ask for extensions before the deadline, not after.** An extension should be in a written addendum signed by both parties. A verbal "that's fine" is not a modification.
- **Keep your lender, title company, and insurance agent on the same schedule.** Most missed dates trace back to a third party who did not know the date existed.

A strong agent builds this calendar early and checks it often. If your agent has not shared one with you, ask for it.

## Frequently Asked Questions

### What happens if I miss the inspection deadline in a Florida "As Is" contract?

In most cases you lose the right to cancel based on inspection findings and move forward with the property in its present condition. Any repair or credit discussions that were not concluded before the deadline become much harder to win. Contact your agent immediately if you think a date is close.

### Do contract deadlines move if they fall on a weekend?

Generally yes. A deadline that falls on a Saturday, Sunday, or national legal holiday moves to the next day that is not one. Some deadlines are counted backward from closing and may move earlier instead, so rely on your agent's calendar.

### Can a deadline in my contract be extended?

Yes, if both parties agree in writing before the deadline passes. The cleanest way is a signed addendum that names the new date. Without that, the original date generally controls.

### Do sellers have deadlines in the "As Is" contract too?

Yes. Sellers have obligations such as delivering title evidence on time, curing title defects within the cure period, providing access, and being ready to close. A seller who misses a date can give the buyer options or put the closing at risk.

### Should I talk to an attorney if I miss a deadline?

If a missed date could affect your deposit or your right to cancel, it is reasonable to speak with a Florida real estate attorney quickly. Your agent can explain the contract's mechanics but cannot give legal advice.
